Membership terms

These are the operative terms of the USLLC For Non-Residents membership — the contract between you and the seller of record named in section 1. They are in force from 6 November 2026. The checkout page restates the material terms before any billing field; this page is the full text those summaries point to.

1 · The parties, and who sells this membership

The seller of record is Obuke LLC Series 2, doing business as USLLC for Non-Residents ("we", "the service"). Your membership contract is with Obuke LLC Series 2. Formations and registered-agent services are fulfilled through PNR Wholesale Services LLC, which engages Registered Agents Inc. as the registered agent of record in your formation state; your registered office address on your state filing is Registered Agents Inc.'s address in that state, and that address is not your mailing address.

How payment is processed. Payments are processed by Stripe through the PA CROP Services Stripe account (PA Registered Office Services LLC) as an interim arrangement until this business's own payment account is live. The interim processing account does not change who provides your service or who is responsible for it. We will notify you before the processing account changes.

We are a formation service and formation information. We are not a law firm and not a tax adviser, and nothing in these terms or on this site is legal or tax advice about your situation.

2 · Price, period, and renewal

Price and period. Annual plan: $399 per year. Monthly plan: $39 per month with a 12-month minimum term (a first-term commitment of $468). Your formation state's filing fee is charged separately, at cost, as a pass-through — the state keeps its fee; it is not part of the membership price.

Renewal mechanics and date basis. The annual plan renews on the anniversary of your joining date, each year, until you cancel. The monthly plan charges on the same calendar date each month; after the 12-month minimum it continues month to month until you cancel. State filing fees and state duties are separate pass-throughs at cost in every term.

No silent changes. A material change to the price or the inclusions at renewal is a new offer: you get advance notice, and the changed charge is not taken without your renewed consent.

Consent. Before any billing begins, you give express consent to the recurring charge by a separate, unticked acknowledgment at checkout. The consent record — your email, plan, this terms version, the timestamp, and the state of that acknowledgment — is retained with your membership record.

3 · What the membership buys

Year one: name check and formation filing in one of 48 states + DC; a registered agent and registered office in your formation state for year one; your EIN, including the without-SSN route (Form SS-4 prepared and filed through the IRS route for foreign owners); your compliance calendar in writing; and your documents delivered — the filed formation document and your EIN confirmation (CP 575) as PDFs.

Each renewal buys three things, itemised: (1) registered-agent renewal for the next year, in the same formation state; (2) the annual state filing service — the report your state requires each year (or every other year, where the state works that way), prepared from your confirmed data and transmitted to the state on your instruction, with the state's own fee a pass-through at cost; (3) the compliance calendar — your duty dates tracked and reminded, state and federal, for the next year.

Not included: mail handling is not part of this membership. No website or hosting, no business phone line, and no dedicated human manager — this is the self-serve lane. No standalone EIN for an entity we did not form. Nothing is sold as lifetime access.

4 · Coverage

48 states + DC — at joining and at every renewal, for the whole life of an entity with this service. Wyoming and Delaware are not covered; a request for either is declined plainly and no alternative is named. Puerto Rico is not served by this business.

5 · Cancellation

You cancel online, in a few steps, with no phone call required, and you receive written confirmation stating the effective date. Cancellation takes effect at the end of the term you have paid for (on the monthly plan, at the end of the 12-month minimum term if that is later). What stops at cancellation: the registered-agent renewal, the annual state filing service, and the compliance calendar.

Forming your LLC is a one-time act we complete in your first term. A state filing, once made, cannot be undone by cancelling. Cancelling stops future services (agent renewal, annual filing, calendar) — it does not dissolve your LLC. If you want the LLC dissolved, that is a separate state filing, with its own state fee.

6 · Refunds

If identity verification cannot be completed within the 21-day window in section 7, no filings will be made and your membership payment for the not-yet-commenced service is refunded in full to the original payment method. State fees already paid over to a state are the state's and are not refundable by us. A state filing, once made, cannot be undone by cancelling, and the formation completed in your first term is not refunded by a later cancellation.

7 · Verification

Because an owner of this business is outside the U.S., we verify identity before we file anything. After checkout, your portal will ask for a photo of a government ID (passport, national ID card, or driver's licence) for each owner and for the person who will be the entity's responsible party — and, if this business belongs to an existing company, a recent certificate of good standing for that company. We cannot start filing work until verification is complete. You will have 21 days. ID images are handled under section 9.

8 · Screening

Intake information — your name, your entity's name, and your stated country and region of residence — is screened against the current OFAC sanctions lists before payment is taken and again before any filing. A verdict that is not clear stops the sale or the filing; nothing is charged on a stopped sale. Screening is a check against a list on a date, not a standing clearance, and a clear result is not a promise about any future check.

9 · Privacy and your records

We collect the information the membership needs: your identity and contact details, your entity's details, your residence country and region, your verification documents, and your payment records (card data itself is held by the payment processor, not by us). We use it to provide the service, to meet the screening and verification duties in sections 7 and 8, and to keep the records those duties require. Verification and consent records are retained for seven years after your account closes; ID images are deleted 90 days after your EIN is issued. We do not sell your information. Processors who handle it do so to provide this service — the payment processor named in section 1 and the fulfilment chain named there.

10 · Liability

Our liability to you for any claim arising from this membership is limited to the fees you paid for the service in the twelve months before the claim arose. Neither party is liable for indirect or consequential damages. Penalties a state or the IRS assesses because data you supplied was late, incomplete, or wrong are yours; where we file for you and the filing is rejected because of our error, the cure is on us and the obligation is not marked satisfied until it is. Nothing in this section limits liability that cannot be limited under applicable law. These terms are governed by the law of the Commonwealth of Pennsylvania.

11 · Changes to these terms

If these terms change materially, the change is a new offer for your next term: you get advance notice, and no changed charge is taken without your renewed consent. The version in force for your term is the version recorded with your consent at checkout.
